Jason Brisebois is a corporate and commercial lawyer whose practice focuses on mergers and acquisitions, franchise law, commercial leasing, privacy and data protection, and advertising and marketing law. Qualified to practise law in both Ontario and New York State, Jason advises entrepreneurs, investors, franchisors, and privately held businesses across Canada on corporate transactions, commercial agreements, and Canada-U.S. cross-border business matters.
Prior to joining Sotos, Jason practised in the New York and Toronto offices of a leading global law firm, advising clients on complex corporate and commercial transactions across North American markets.
Jason is widely recognized for his franchise law practice. He works with franchisors, licensors, distributors, private equity groups, and multi-unit operators on the development and expansion of franchise systems, franchise disclosure documents, franchise agreements, licensing and distribution arrangements, franchise acquisitions and sales, and regulatory compliance. He frequently assists U.S.-based franchisors entering the Canadian market and Canadian businesses expanding into the United States.
Jason represents buyers, sellers, and investors in mergers and acquisitions, including share and asset transactions, corporate reorganizations, and the purchase and sale of privately held businesses. He works with clients from structuring and negotiation through due diligence, transaction documentation, closing, and post-closing matters.
In his commercial leasing practice, Jason represents landlords and tenants in retail, office, and industrial leasing matters, including lease negotiations, renewals, assignments, and development agreements. He also handles leasing issues arising in mergers and acquisitions and franchise transactions.
Jason advises businesses on privacy, data protection, and information governance, helping them navigate the collection, use, and disclosure of personal information and comply with federal and provincial privacy legislation. His work includes developing and implementing privacy policies and procedures, negotiating commercial agreements involving data, and addressing privacy considerations in corporate and technology transactions. He also works with businesses on advertising and marketing law, including advertising compliance, advertising claims substantiation, consumer protection compliance, promotional marketing, and endorsement arrangements.
Jason is regularly recognized by prominent legal directories and industry publications, including the Canadian Legal Lexpert Directory, Best Lawyers in Canada, Lexology Index, and Franchise Times Magazine. He was the exclusive winner of the Lexology Client Choice Award for Canada in 2024.

When I'm not working, I'm spending time with my rough collie Sisu. I'm also an avid skier, golfer, and hockey fan.
